Yahoo! Well I found the bad extension. ModalWindows.mxi
It wasn't the second one I pulled, but I created a blank folder and dragged first all extensions from Flash 2004, tested and put them back, then half of DW2004, and EM opened. Then replaced half, then replaced or pulled half of what was left depending on if EM crashed or worked, etc. till I found the culprit.
Thanks guys, I'm back in business!
